What is the history of WEG?

On September 16, 1961, in the city of Jaraguá do Sul/SC, the skills of an electrician, an administrator, and a mechanic were unified, resulting in the founding of Eletromotores Jaraguá. Born from the courage of visionary entrepreneurs, the company came to be called WEG after a while, alluding to the initials of the founders. A name that is recognized today as one of the largest manufacturers of electrical equipment in the world.

WEG is a global company specializing in electrical and electronic equipment, operating in the capital goods sector with a focus on electric motors, gearboxes,drives, generators and transformers, and products and systems for electrification, automation, and digitalization.

What products does WEG have?

WEG has a complete portfolio of solutions in industrial motors, commercial and appliance motors, automation, energy, transmission and distribution, digital systems and paints.

We traditionally group our products into four major business areas, as follows:

Industrial Electro-Electronic Equipment (EEI) – Includes low and high voltage electric motors, gearboxes, drives & controls, industrial automation equipment, systems and services, solutions for electric mobility, for industry 4.0, electrical infrastructure for civil construction and maintenance services. Electric motors and other products and solutions in this area have application in practically all industrial segments, such as compressors, pumps and fans. We compete with our products and solutions in the main markets of the world;

Energy Generation, Transmission, and Distribution (GTD) – The products and services included in GTD are electric generators, alternators, wind turbines, solar generation, hydraulic and thermal steam (biomass) turbines, transformers, substations, control panels and system integration services. In general, process deadlines in this sector are longer, with longer investment decisions and longer design and manufacturing leadtimes;

Commercial and Appliance Motors (MCA) – Business in this area mainly includes single-phase motors for durable consumer goods such as washing machines, air conditioners, water pumps, among others. In Brazil, we have market leadership with the main manufacturers of this type of equipment. And abroad, we offer a broad portfolio of products to serve our global customers. In this short-cycle business, variations in consumer demand are quickly transferred to the industry, with almost immediate impacts on production and revenue;

Paints and Varnishes (T&V) – In this business area, we include liquid paints, powder paints and insulating varnishes, focusing on industrial applications and the Brazilian market, with gradual expansion to Latin America. Target markets range from manufacturers of white goods to the shipbuilding industry, among others. We seek to maximize the scale of production and the effort to develop new products and new segments. Characterized as a short-cycle business, variations in our customers’ demand are felt quickly on our production and revenue.

What is the relevance of each of the operations to the Company’s consolidated revenue?

Shares

How do I become a shareholder?

Investing in WEG shares should be done by purchasing shares on the B3, the Brazilian stock exchange, using one of the various authorized brokerage firms. To learn more about the stock market, its operation and rules, the best sources are the exchange’s own website (www.b3.com.br) and Comissão de Valores Mobiliários, the Brazilian Securities and Exchange Commission,  (https://www.gov.br/cvm), which is the market regulator and has an investor education section.

There is no minimum quantity for buying and selling stocks; however, the Stock Exchange differentiates between spot market transactions (minimum lot of 100 shares) and fractional market transactions (between 1 and 99 shares), but the operation is the same. The difference is that liquidity is lower in the fractional market. Regarding prices, there are daily fluctuations, so there is no fixed price for buying. Historical prices can be obtained directly from the B3 website.

Where can I find the income statement for income tax purposes?

For publicly traded companies in Brazil, these statements are issued by the bank that manages the company’s shares. For WEG, the managing bank is Banco Bradesco S.A. (Bradesco), which is responsible for making the statements available to all investors.

According to information from Bradesco, starting in 2022, income statements will no longer be sent in printed form and are available exclusively in digital format. To access this document, investors must access the Digital Documents Portal (PDD), a platform created to allow viewing, printing, and downloading documents entirely digitally, following the procedures below:

1) On the Bradesco Investor Portal, click on First Access.

2) Enter your CPF (Brazilian individual taxpayer registration number) and date of birth. For legal entities, enter the CNPJ (Brazilian company taxpayer registration number) and date of incorporation.

3) To verify your identity, choose one of the following options: phone number or email.

4) Enter the code you received and create your password.

5) With your account already created, simply log in with your CPF (Brazilian individual taxpayer registration number) or CNPJ (Brazilian company taxpayer registration number) and the password you registered.

If you encounter difficulties accessing the new portal, you can also contact us directly by phone at
+55 11 4020-5347 and select option 2, where you will be directed to support.

Furthermore, for Bradesco current account holders, the option to view and obtain income statements directly through Internet Banking/Investments/Inquiries remains available. Under Book-Entry Assets, select the option Income Statement Inquiry – 2nd copy.

If you are a Bradesco shareholder who is not a Bradesco account holder and encounter any difficulties, we advise you to contact your preferred Bradesco branch, bringing your personal identification documents. We suggest mentioning this to the branch you choose so they can contact Bradesco’s Registration, Custody and Financial Services area if they have any questions. How can I obtain information about my shareholding position?

For security reasons, we cannot provide information regarding the history of transactions via email or telephone.

Therefore, to comply with security protocols, we recommend requesting the transaction history from the bank that manages WEG shares, in this case Banco Bradesco S.A. (Bradesco). This bank is responsible for providing support to all investors in the company, both in fungible custody at the stock exchange, B3 S.A. – Brasil Bolsa Balcão (B3), and in custody held by Bradesco itself.

Does WEG have a shareholders’ agreement?

WEG S.A. does not have a shareholders’ agreement with any shareholder in its base.

It is important to mention that in its corporate structure, the company has a controlling shareholder, WPA Participações e Serviços S.A., which holds 50.09% of the capital, which, in turn, is controlled by the three families of the founders of the WEG Group. In June 2007, the Company joined the Novo Mercado listing segment of B3, a special market segment that establishes rules and procedures for corporate governance and protection for minority shareholders, limiting the ability of controlling shareholders to approve certain matters. Dividends and Interest on Equity

What is WEG’s dividend policy?

Our practice is to declare interest on equity (JCP) quarterly and interim and supplementary dividends based on the profit obtained each semester, that is, six dividends per year, paid semi-annually. Historically, approximately 50% to 55% of net profit is distributed to shareholders. We also make available on the Investor Relations website the history of the last approved dividends/JCP.

How can I find out if I am entitled to receive dividends?

For shareholders with shares held directly in custody at Banco Bradesco, dividend and interest payments are automatically credited to the registered checking account. If the payment has not been received, it is possible that the bank details are outdated. In this situation, simply visit any Banco Bradesco branch with your personal documents to update your information.

Shareholders who hold their shares through brokerage firms will receive the dividends directly into their account with the respective institution.

ADR Program

I live abroad, can I buy WEG shares?

Since September 28, 2010, WEG has had a sponsored program of Level I American Depositary Receipts (ADRs), traded over-the-counter (OTC) in the United States of America (USA) under the ticker symbol WEGZY, backed by registered, book-entry common shares of the company with no par value.

With this program, WEG seeks to offer greater access options for investors, including those domiciled abroad, thereby increasing the liquidity and visibility of the company’s shares.

How are dividends paid to ADR holders?

Holders of ADRs receive dividends in a similar way to shareholders of common stock, but with the support of the depositary bank that manages the ADRs, which collects the dividends paid and distributes them to the ADR holders.

What is a depository bank? Who is WEG’s depository bank?

A depository bank is a financial institution responsible for safeguarding and managing financial assets, such as stocks and bonds, ensuring the security of transactions and compliance with market regulations. It acts as an intermediary between companies and investors, handling asset custody, transaction settlement, and dividend distribution.

In the case of WEG, which has shares traded internationally through ADRs (American Depositary Receipts), the depositary bank for the ADRs is JPMorgan Chase Bank, N.A., while the custodian bank in Brazil is Banco Bradesco S.A. JPMorgan issues the ADRs and represents foreign investors, and Bradesco holds the original shares in custody in Brazil.

Sustainability

WEG has emissions targets?

WEG has targets for reducing greenhouse gas emissions, validated by the international Science Based Targets initiative (SBTi), including a 52% reduction in absolute emissions from scopes 1 and 2 by 2030, and a 60% reduction in scope 3 emissions by added value in the same period, with the goal of achieving carbon neutrality by 2050; to this end, the company implements more than 1,200 projects focused on sustainability, such as replacing diesel forklifts with electric ones, increasing the use of renewable energy (66.8% in 2024), and modernizing industrial processes, within the WEG Carbon Neutral Program launched in 2022.

What is sustainability governance?

Sustainability governance at WEG is structured through a network of bodies that ensure the integration of the topic into the corporate strategy, starting with the Board of Directors and continuing through the Executive Board, which has the support of specialized committees such as the Sustainability Committee, the Health and Safety Committee, the Diversity, Equity and Inclusion Committee, among others; in addition, the Sustainability Directorate and the Sustainability Department are responsible for the management and implementation of actions, and the variable compensation of executives is linked to performance targets in health and safety and to the reduction of greenhouse gas emissions, reinforcing the company’s commitment to sustainable practice.
